By using the Qonnect website or services, you agree to all the terms and policies
below. Please read them carefully.
For purposes of this document, "Qonnect", "the Company", "we" or "us" refers to
Neovation Technologies LLC, and "you" refers to the user or customer.
Terms and Conditions (Consumers)
These Terms and Conditions for Consumers ("Consumer Terms") apply to individual
customers purchasing and using Qonnect eSIM services for personal use.
1. Service Overview: Qonnect provides electronic SIM (“eSIM”) services that enable
mobile data connectivity on supported devices worldwide. Our eSIM data plans can
be purchased online and used in multiple countries through partner mobile networks.
Note that Qonnect’s eSIM plans are typically data-only (no voice calls or SMS) and
require a compatible, unlocked device.
2. Eligibility: You must be at least 18 years old (or the age of legal majority in your
jurisdiction) to purchase and use Qonnect services. By creating a Qonnect account
or buying an eSIM, you represent that you are legally able to enter into this
agreement. Qonnect is intended for personal, lawful use only; commercial reselling
or sharing of a consumer eSIM plan is not permitted.
3. Account Registration: Purchasing an eSIM may require creating an account on
our website or app. You agree to provide accurate, up-to-date information during
signup and keep your account credentials secure. You are responsible for all
activities under your account. Notify us immediately at support@qonnect.com if you
suspect unauthorized access to your account.
4. Orders and eSIM Activation: When you order a Qonnect eSIM plan, you will
receive instructions (such as a QR code or activation code) to download and install
the eSIM profile to your device. An eSIM is considered "activated" once it is
downloaded to a device or otherwise enabled for use. You agree that delivery and
activation of the eSIM may occur immediately upon purchase. Each data plan will
have a specified data allowance (e.g., a number of gigabytes) and validity period
(e.g., number of days from activation). Unused data expires after the validity period
and will not be refundable.
5. Device Compatibility: It is your responsibility to use a compatible, network-
unlocked device for the eSIM service. Qonnect eSIMs work only on devices that
support eSIM technology and the network bands in your location. Before purchase,
you should review device requirements on our site. We are not liable if your device is
not supported or is locked to another carrier. You must also configure any device
settings (such as APN settings) as instructed for the service to function.6. Usage Rules and Prohibited Activities: You agree to use the eSIM service in
accordance with these terms and applicable law. Prohibited uses include, but are
not limited to:
• Using the service for any unlawful, fraudulent, or abusive purpose (e.g.,
harassment, spamming, hacking, illicit downloads).
• Reselling or transferring the eSIM or data service to others without our
authorization.
• Using the consumer eSIM in a manner that is excessive or not intended for
normal personal use (such as permanent tethering for commercial purposes,
or deploying it in IoT devices at scale). Qonnect reserves the right to enforce
data usage limits or speeds in accordance with any fair use policy associated
with your plan (any such limits will be communicated to you).
• Attempting to reverse engineer, duplicate, or otherwise tamper with the eSIM
profile, network, or our website/app security.
• Using Qonnect service in any sanctioned or embargoed countries or in
violation of U.S. export controls and sanctions.
We may suspend or terminate your service without notice if we determine that you
are violating these rules or any applicable laws. You will not be entitled to a refund in
case of termination due to misuse.
7. Quality of Service: Qonnect strives to provide reliable global connectivity by
partnering with mobile network operators worldwide. However, actual availability,
quality, and coverage of the data service can vary and are outside of Qonnect’s
direct control. You understand that:
• The eSIM service may not be available in all locations or may have coverage
gaps. Coverage depends on our partner networks in each region.
• Data speeds and network performance are not guaranteed and may fluctuate
due to network congestion, signal strength, terrain, or other factors.
• Temporary service outages or disruptions may occur (e.g., due to
maintenance, network issues, or force majeure events). We will endeavor to
restore service as soon as feasible, but we are not liable for any such
interruptions.
• The Qonnect service does not support traditional voice calls or SMS, and it
cannot be used to place emergency calls (e.g., 911, 112). You are
responsible for having an alternative means to contact emergency services.
8. Pricing and Payment: All prices for eSIM plans are displayed on the Qonnect
website/app at the time of purchase. Prices are shown in U.S. dollars (or other
currency as indicated) and may exclude any applicable taxes or fees unless stated
otherwise. You agree to pay the total amount due (including any taxes) at checkout.
Payments are processed via our third-party payment processors (such as Stripe),
and by purchasing you authorize us or our processor to charge your provided
payment method. We do not store full payment card details on our systems. If your
payment cannot be completed or is reversed, your eSIM order may be cancelled or
your service suspended.9. Taxes and International Fees: Neovation Technologies LLC is a U.S. company.
Depending on your billing address or location, your purchase may be subject to
sales tax, VAT, or other local taxes. Any such taxes will be indicated at checkout.
You are responsible for any bank fees or currency exchange differences if you
purchase in a currency different from your card’s currency. Qonnect is not
responsible for fees charged by your bank or card issuer.
10. Right of Withdrawal (EU/UK Consumers): If you are a consumer residing in
the European Union or United Kingdom, you have the legal right to withdraw from
your purchase within 14 days from the date of purchase without giving any reason,
provided that you have not activated or used the eSIM service. To exercise this
right, you must inform us of your decision to cancel within the 14-day period by
contacting our support (see Refund Policy below for instructions). If the eSIM has not
been activated, we will provide a refund of the purchase price. By purchasing an
eSIM, you expressly consent that we may supply the eSIM and service to you
immediately, and you acknowledge that if you activate or use the eSIM before
the 14-day period expires, you lose the right to withdraw. This does not affect
any other refund rights described in our Refund Policy or your statutory rights.
11. Refunds: Outside of the 14-day EU withdrawal right, all sales are generally final
once an eSIM is activated. However, we want you to be satisfied with our service.
Our Refund Policy (see below) describes specific scenarios where refunds may be
granted (for example, if you have not activated the eSIM or if a technical issue on our
side made the service unusable). Any approved refunds will be issued to the original
payment method.
12. Support and Service Issues: If you encounter any issues with your eSIM (such
as difficulty installing it or connectivity problems), please contact our customer
support at support@qonnect.com for assistance. We will work with you to
troubleshoot and resolve the problem. You agree to cooperate with any
troubleshooting steps (e.g., adjusting device settings). In the event of a verified
technical fault attributable to Qonnect or our network partners that cannot be
resolved, you may be eligible for a replacement eSIM or a refund as described in our
Refund Policy.
13. Intellectual Property: All content and materials provided through the Qonnect
website, app, and services (including but not limited to software, eSIM profiles,
logos, text, graphics, and website design) are owned by or licensed to Neovation
Technologies LLC. We grant you a limited, non-exclusive, non-transferable license to
use the Qonnect eSIM and related software or materials solely for the purpose of
using the service as allowed under these terms. You shall not reproduce, distribute,
modify, create derivative works from, publicly display, or reverse engineer any part of
our service or content, except as expressly permitted by us. "Qonnect" and
associated logos or names are trademarks of Neovation Technologies LLC, and you
may not use them without our prior written permission.
14. Termination by You: As a consumer, you may stop using the Qonnect service
at any time. If you wish to delete your Qonnect account, you can contact us to
request account deletion. Please note that terminating service or deleting your
account will not automatically entitle you to a refund of any unused data or timeremaining on your eSIM plan (except where allowed under our Refund Policy or
required by law).
15. Suspension or Termination by Us: We may suspend or terminate your eSIM
service or account for violation of these Terms, suspected fraud or illegal activity,
non-payment, or as required by law or court order. We may also terminate the
service if we decide to discontinue the Qonnect eSIM product (if so, we will provide
you notice and, where applicable, a pro-rata refund for any unused service). We are
not liable for any damages or losses resulting from permitted suspension or
termination of service.
16. Disclaimer of Warranties: Qonnect services are provided on an “as is” and
“as available” basis to the maximum extent permitted by law. While we endeavor to
provide a quality service, we make no guarantees or warranties that the service
will be uninterrupted, error-free, or meet your expectations. To the fullest extent
allowed by applicable law, Neovation Technologies LLC disclaims all warranties and
conditions, whether express, implied, or statutory, regarding the Qonnect service and
eSIM, including any implied warranties of merchantability, fitness for a particular
purpose, title, and non-infringement. You assume all responsibility for selecting the
service to achieve your intended results and for the use of the service.
17. Limitation of Liability: To the fullest extent permitted by law, in no event will
Neovation Technologies LLC (Qonnect) be liable for any indirect, incidental, special,
consequential, or punitive damages, or for any loss of data, loss of profits, loss of
business, loss of goodwill, or other intangible losses, arising out of or related to your
use of (or inability to use) the Qonnect service, even if we have been advised of the
possibility of such damages. In jurisdictions that do not allow the exclusion of certain
damages, we limit our liability to the maximum extent permitted by law.
Furthermore, to the extent permitted by applicable law, our total aggregate liability to
you for any and all claims arising from your use of Qonnect or under these
Consumer Terms will not exceed the amount you paid to us for the eSIM plan or
service in question. For example, if the issue involves a specific data plan you
purchased, our liability is limited to the fees you paid for that plan. This limitation
applies to all causes of action in the aggregate, including but not limited to breach of
contract, tort (including negligence), strict liability, misrepresentations, or any other
legal theory.
Nothing in these terms shall limit or exclude our liability for gross negligence, willful
misconduct, fraud, or any other liability that cannot be excluded under law. Your
statutory rights as a consumer (such as rights under consumer protection laws
regarding defective products or services) are not excluded or limited by this provision
to the extent not permitted by law.
18. Indemnification: You agree to indemnify and hold harmless Neovation
Technologies LLC (and its directors, officers, employees, and agents) from and
against any losses, liabilities, claims, demands, damages, costs, or expenses
(including reasonable attorneys’ fees) arising out of or related to your violation of
these Terms or misuse of the Qonnect service. This means you will reimburse us for
any losses or costs we incur due to your actions that breach this agreement or anylaw (for example, if you use the eSIM in violation of a third party’s rights or applicable
regulations, and we get sued or fined as a result).
19. Governing Law: This agreement and any dispute or claim arising out of or in
connection with it or the Qonnect service shall be governed by the laws of the State
of New Mexico, USA, without regard to its conflict of laws principles, and to
applicable federal law of the United States. If you are a consumer residing outside of
the USA, you may also be entitled to the protection of mandatory consumer
protection provisions of your local law. This governing law provision does not deprive
you of any consumer rights provided under the laws of your country of residence that
cannot be waived by contract.
20. Dispute Resolution and Jurisdiction: You agree that any dispute arising
between you and Neovation Technologies LLC in connection with the Qonnect
service or these terms that cannot be resolved amicably shall be brought in the
courts of the State of New Mexico or, if federal jurisdiction exists, the United States
District Court for the District of New Mexico. You consent to the personal jurisdiction
of such courts. However, if you are a consumer resident outside the USA, this choice
of jurisdiction does not override any rights you may have to bring a claim in your
home country under local law. Each party waives any objection to the venue of such
courts on grounds of inconvenience or otherwise, to the extent permitted by law.
21. Changes to Terms: We may update or modify these Consumer Terms from time
to time to reflect changes in our services, legal requirements, or other legitimate
reasons. If we make material changes, we will notify users by posting the updated
terms on our website (and/or via email or in-service notification). The updated Terms
will indicate the date of the latest revision. By continuing to use the eSIM service or
the website after the effective date of updated terms, you are agreeing to the
changes. If you do not agree to the revised terms, you should stop using the service
and, if applicable, may contact us to discuss any concerns or to terminate your
account.
22. Entire Agreement: These Terms and Conditions (Consumers), along with the
other policies and documents referenced herein (such as the Privacy Policy and
Refund Policy), constitute the entire agreement between you and Neovation
Technologies LLC regarding your use of the Qonnect service as a consumer. It
supersedes any prior agreements or communications (whether oral or written)
regarding the same subject matter. In case of a conflict between these Consumer
Terms and any other policy or document, these Terms will generally govern your use
of the service, except where otherwise stated.
23. Severability: If any provision of these Terms is held to be invalid, illegal, or
unenforceable by a competent legal authority, that provision shall be enforced to the
maximum extent permissible, and the remaining provisions of the Terms will remain
in full force and effect. Our failure to enforce any right or provision of these Terms
shall not constitute a waiver of such right or provision.
24. No Waiver: No waiver by Qonnect (Neovation Technologies LLC) of any breach
or default by you under these Terms is deemed to be a waiver of any preceding orsubsequent breach or default. Our rights and remedies under these Terms are
cumulative and do not limit any other rights or remedies provided by law or equity.
25. Assignment: You may not assign or transfer any of your rights or obligations
under these Terms without our prior written consent. Neovation Technologies LLC
may assign or transfer its obligations under this agreement to an affiliate or in
connection with a merger, acquisition, corporate reorganization, or sale of all or
substantially all of its assets related to the Qonnect service.
Terms and Conditions (Businesses)
These Terms and Conditions for Business Customers ("Business Terms") apply to
companies, organizations, or other legal entities (not individuals acting as
consumers) that purchase or use Qonnect eSIM services for business purposes (for
example, for their employees, clients, or as part of their own service offerings). If you
are registering for or using Qonnect on behalf of a company or organization, you
confirm that you have the authority to bind that entity to these terms, and in that case
"you" refers to the business/entity.
1. Scope of Service for Businesses: Qonnect’s eSIM service for business allows
an organization to obtain eSIM data plans for its business use or distribution to
authorized end users (such as employees or customers of the business). All eSIM
usage under a business account remains subject to these Business Terms and any
applicable usage policies. The business customer is responsible for ensuring that
any end user of the eSIM (if the business provides the eSIM to others) complies with
the equivalent obligations as set out in these terms. Qonnect does not directly
contract with your end users; your organization is our customer of record.
2. Account and Authorized Users: Business customers may be provided a master
account or administrative portal to manage eSIM purchases and assignments. The
business is responsible for managing access to its account (for example, designating
authorized personnel who may place orders or manage eSIMs) and for the actions of
anyone using the service through its account credentials. The business must ensure
all information provided to Qonnect (including business name, address, payment
information, and any user details) is accurate and kept up to date. If an employee or
agent leaves or should no longer have access, the business is responsible for
revoking their credentials. Qonnect will assume that any actions taken through the
business account are authorized by the business.
3. Business Use Cases: Unless otherwise agreed in writing, business customers
may use Qonnect eSIMs for internal business purposes (e.g., employee business
travel connectivity, device testing, or IoT deployments) or may provide Qonnect
eSIMs to their own end-users as part of a product or service (for example, a travel
agency including a data SIM for clients). However, without explicit written permission
from Qonnect, a business customer shall not resell Qonnect eSIM plans as a
standalone product or bundle Qonnect services in a way that positions the business
as a telecommunications provider. In other words, you may incorporate Qonnect’sservice into your offering, but you cannot simply white-label or resell our plans under
a different brand without authorization. If you are interested in a reseller or affiliate
partnership, please contact us for a separate agreement.
4. Orders and Delivery for Business: Order processes for businesses may involve
purchasing eSIM plans in bulk or via custom pricing. Each order, once accepted by
Qonnect, will allow the business to access the purchased eSIM profiles (e.g., via QR
codes or digital delivery). Delivery of eSIM profiles is typically electronic. The
business is responsible for distributing the eSIM activation information to its intended
users in a secure manner. Once an eSIM profile is delivered to the business or its
agents, it is considered delivered to the business customer. Activation occurs when
an eSIM is installed on a device. Business plans may have specified data
allowances and validity periods as per the offering or contract.
5. Fees, Invoicing, and Payment: Business customers agree to pay all fees for the
eSIM plans or services ordered. Payment terms for businesses might be handled via
credit card at purchase or via invoice, depending on arrangements with Qonnect:
• If paying by credit card through our website, the same terms apply as for
consumers (see Consumer Terms section on Pricing and Payment).
• If Qonnect approves invoicing for your account, payments are due within the
time frame specified on the invoice (e.g., net 30 days) in the currency billed.
Late payments may incur interest at the rate permitted by law (or as specified,
for example, 1.5% per month) and/or result in suspension of service until paid.
• The business is responsible for any taxes, duties, or import fees applicable to
the services provided to it, other than taxes on Qonnect’s income. If you claim
a tax exemption, you must provide valid proof of such exemption.
• No set-off: The business shall not withhold or set off any portion of payment
due for any reason without Qonnect’s written agreement.
6. Business Customer Obligations: In addition to the Usage Rules in the
Consumer Terms (which equally apply to all users), business customers shall:
• Use the services and ensure their end users use the services in compliance
with all applicable laws and regulations (including telecommunications laws,
data privacy laws such as GDPR if you provide us personal data about
individuals, and export/sanctions laws).
• Not use the service for mission-critical or life-critical applications where a
failure or outage could lead to serious harm (e.g., emergency services, life
support systems) as Qonnect’s service is not designed or certified for such
purposes.
• Provide necessary support to your end users if you distribute the eSIMs to
them. Qonnect will provide support to the business’s account administrators
for service issues, but the business may be responsible for Tier-1 support to
its end users (unless otherwise arranged).
• Keep any Qonnect-provided confidential information (such as special pricing,
non-public features, or any software tools) confidential and not disclose it to
p• Promptly notify Qonnect of any security breaches or unauthorized access
related to the Qonnect eSIMs or accounts that the business becomes aware
of.
7. No Improper Use or Resale: The business shall ensure that neither it nor its end
users engage in any of the prohibited activities listed in the consumer Usage Rules
(see Consumer Terms Section 6). Additionally, the business will not use the Qonnect
name, logo, or trademarks in marketing or publicity without prior written permission,
except merely to state that it utilizes Qonnect services. If the business provides
Qonnect eSIMs to end users, it must not make false or misleading representations
about the service, and should appropriately credit Qonnect as the service provider if
asked by end users.
8. Intellectual Property (Business): Neovation Technologies LLC retains all
intellectual property rights in the Qonnect services, software, and materials. The
business is granted a limited license to use the eSIM profiles and any software or
portal solely for purposes of utilizing the Qonnect service as intended. The business
may not copy, modify, distribute, or create derivative works from any Qonnect
software or content, nor reverse engineer any technology, except to the extent
permitted by law or expressly allowed by us. If the business provides any feedback
or suggestions to Qonnect, we may use such feedback without obligation.
9. Confidentiality: In the course of the business relationship, either party may
receive confidential or proprietary information from the other (such as pricing,
technical specifications, customer data, etc.). Each party agrees to protect the
other’s confidential information with the same care it uses for its own similar
information, and at least a reasonable standard of care. Confidential information
shall only be used for purposes of fulfilling the agreement between the parties and
not disclosed to outside parties except as authorized. This obligation does not apply
to information that is already public, independently developed, lawfully obtained from
others, or required to be disclosed by law (after giving notice if legally permissible).
10. Privacy and Data Protection: If the business provides Qonnect with personal
data of individuals (e.g., end-user names or contact information for eSIM activation),
the business represents that it has the legal right to provide that data to Qonnect for
the purpose of providing the service (for example, that it has obtained any necessary
consents from the individuals or that another lawful basis applies). Qonnect will treat
any personal data it receives in accordance with our Privacy Policy and any data
processing agreement in place. Both parties agree to comply with applicable data
protection laws. If required by GDPR, the parties will enter into a separate Data
Processing Addendum to outline roles (likely Qonnect as a data processor for certain
end user data on behalf of the business, if the business is controlling the data).
11. Term and Termination (Business): These Business Terms apply as long as
you have an active business account or ongoing services with Qonnect. Either party
may terminate the business relationship by providing notice if the other party
materially breaches these terms and fails to cure the breach within a reasonable
period (e.g., 30 days) after notice. Qonnect may also terminate or suspend services
immediately if the business violates important obligations (such as payment
obligations or misuse of service) or if required by law or government order. Upontermination, any remaining eSIMs or services provided to the business will be
deactivated as of the termination date, and any amounts owed by the business
become immediately due. If we terminate without cause (not due to breach by the
business), and you have prepaid for services not yet used, we will refund the unused
portion. Termination of service will not affect provisions which by their nature should
survive (such as payment obligations, liability limitations, confidentiality, etc.).
12. Warranties (Business): Qonnect warrants that it will provide the eSIM services
in a workmanlike manner consistent with industry standards. However, to the
maximum extent permitted by law, Qonnect provides the service and any related
software or hardware “as is”, without any other warranties or conditions, express or
implied. Qonnect specifically disclaims any implied warranties of merchantability,
fitness for a particular purpose, non-infringement, and any warranties arising from
course of dealing or usage of trade. The business acknowledges that telecom
services may experience errors or downtime and that no network can be 100%
reliable or secure.
13. Limitation of Liability (Business): To the extent permitted by law, Neovation
Technologies LLC (Qonnect) shall not be liable to the business or any third party for
any indirect, special, incidental, consequential, or punitive damages, or for any loss
of profits, revenue, data, or business opportunities, arising out of or related to the
use or inability to use Qonnect services, even if advised of the possibility of such
damages. This limitation applies to any claim arising from breach of contract, tort
(including negligence), strict liability, or otherwise.
Qonnect’s total aggregate liability for all claims arising under or related to the
business’s use of the service or these terms shall be limited to the total amount paid
by the business to Qonnect for the specific eSIM services giving rise to the claim in
the 6 months preceding the event or claim. If no fee was paid (for example, if a free
trial or zero-cost service was provided), Qonnect shall have no liability in monetary
damages.
Nothing in this section shall limit liability for any matter that cannot be limited or
excluded by law (such as fraud or willful misconduct). Additionally, the business has
a duty to mitigate any losses if a breach by Qonnect occurs.
14. Indemnification (Business): The business agrees to indemnify, defend, and
hold harmless Neovation Technologies LLC (and its affiliates, officers, directors,
employees, agents) from any third-party claims, liabilities, damages, and expenses
(including reasonable legal fees) that arise out of or relate to: (a) the business’s or its
end users’ use of the Qonnect service in violation of these terms or applicable law;
(b) any content or data transmitted by the business or its end users using Qonnect;
or (c) an allegation that the business’s integration or combination of Qonnect
services with other services or products infringes the rights of a third party. We will
notify you promptly of any such claim and cooperate in the defense, but you shall
have control of the defense and shall not settle any claim that imposes any obligation
on Qonnect without our prior consent.
15. Governing Law and Dispute Resolution: The Business Terms and any dispute
arising out of them shall be governed by the laws of the State of New Mexico, USA(and applicable U.S. federal law), without regard to conflict of law principles. The
provisions regarding jurisdiction and dispute resolution are the same as those stated
above for consumers: primarily, disputes will be brought in the state or federal courts
of New Mexico, and the parties consent to such jurisdiction and venue. However,
nothing prevents Qonnect from seeking injunctive or equitable relief in any
jurisdiction to protect its intellectual property or confidential information.
16. Entire Agreement (Business): These Business Terms, along with any separate
written agreement or order form between the business and Qonnect (if applicable),
and the policies referenced (Privacy Policy, etc.), constitute the entire agreement
between the business and Qonnect for the services described. Any terms in a
purchase order or other document from the business that are not expressly agreed
to by Qonnect in writing are not binding. Any amendments to these terms must be in
writing and agreed by both parties (except for updates by Qonnect to general terms
as provided herein).
17. Hierarchy and Severability: If the business has a signed contract with Qonnect
and any provision in that contract conflicts with these Business Terms, the signed
contract’s terms will prevail to the extent of the conflict. Otherwise, these Business
Terms apply in full. If any part of these Business Terms is found invalid or
unenforceable, the rest remains effective. Failure to enforce any provision by
Qonnect is not a waiver of our right to enforce it later.
18. No Partnership: The relationship between the business and Qonnect is that of
independent contractors. Nothing in these terms shall be construed to create a
partnership, franchise, joint venture, agency, or fiduciary relationship between the
parties. The business is not an agent of Qonnect and cannot bind Qonnect to any
obligation.
